| Expansion of share capital and issuing new shares! [message #386515] |

Hi group.
I have a small company with a stock of 100 shares with a face value of
=A3 1 each, and as the only share holder, I have paid up just the one
share (=A3 1.00)!
A group of investors has now approached me to invest in this company,
and we have agreed on all terms on pricing and conditions, including
that the numbers of shares are to be increased from the existing 100
shares to 1,000,000 shares, each with a face value of =A3 1.00.
Can any one direct me to a web-site where I can find resources or
templates which shows me how the documentation should be constructed
and what it should look like?
Thanking you all for your assistance.

It will help if you get your terminology right. Your company doesn't
have a "stock" of 100 shares. There is 1 share, and the company is
authorised to issue 99 more if it so desires.
What are you trying to achieve - who will own what?

You are absolutely right - sorry about the terminology!
The split will be 250,000 shares for me, 125,000 shares or one of the
investors, 125,000 shares for the other investor and the balance
(500,000 shares) stay in the company for either later rounds or further
investors!
What I really was hoping for was to find a source on the Internet where
I could find either guides or templates for this kind of transactions.

If you are going from =A31 of Share Capital to =A3500,000 without taking
proper professional advice, then you are all crackers. Suppose somebody
wants their money back :)

If you are going from £1 of Share Capital to £500,000 without taking
proper professional advice, then you are all crackers. Suppose somebody
wants their money back :)

Thats their problem! They would have to find somebody to buy them, its
not a problem for the company.
Having said that, you are right. The OP needs advice.
